Terms of Trade & Commercial Engagement

INTERNATIONAL COMMODITY CONTRACT STANDARDS // INCOTERMS 2020 COMPLIANT

1. Applicability & Contracting Structure

These Terms of Trade govern all commercial quotations, proforma invoices, sales contracts, and procurement agreements executed by SourcID and its subsidiaries. Specific physical specifications, incoterms, payment schedules, and inspection parameters detailed in an executed bilateral contract supersede general website terms.

2. Quotation Validity & Market Volatility

Due to agricultural harvest cycles, fuel bunker surcharges, and international exchange rate fluctuations, commercial quotations issued by our trade desk are valid strictly for the window stated on the official quotation sheet (typically 48 to 72 hours) unless formally extended in writing.

3. Incoterms & Risk Transfer

All trade contracts reference the International Chamber of Commerce (ICC) Incoterms® 2020:

  • FOB (Free On Board): Risk passes to the buyer once goods pass over the ship's rail at the designated origin loading port (e.g. Tanjung Priok IDJKT or Dar es Salaam TZDAR).
  • CFR / CIF (Cost & Freight / Cost, Insurance & Freight): Seller arranges maritime freight to the named destination port. Marine cargo insurance under CIF is secured per Institute Cargo Clauses (A) or (C) as stipulated.

4. Independent Quality Inspection & Finality

Unless otherwise agreed in the commercial contract, quality, weight, and condition at the port of origin as certified by an accredited third-party surveying agency (SGS, Sucofindo, Bureau Veritas) shall be final and binding on both parties for the purpose of shipping document release.

5. Force Majeure & Dispute Resolution

Neither party shall be liable for non-performance or shipping delays resulting from acts of God, armed conflict, maritime blockades, government embargoes, or catastrophic port closures. Any unresolved commercial dispute shall be referred to arbitration in accordance with the rules of the International Chamber of Commerce (ICC) or the Singapore International Arbitration Centre (SIAC).
